1. Scope

These Terms and Conditions govern the services provided by Sophie Guesne, founder of Pranaya, including:

• Yoga and Ayurveda consultations

• Follow-up sessions

• Thematic consultations

• Group and private classes

• Workshops

• All related educational offerings and materials

By booking or participating in any service, you confirm that you have read, understood, and agree to these Terms and Conditions.

2. Nature of Services

Pranaya provides holistic, educational guidance inspired by the principles of Yoga and Ayurveda. Unless otherwise agreed, sessions take place online.

All services:

• Are educational and preventive in nature.

• Do not constitute medical advice, diagnosis, treatment, or therapy.

• Do not establish a healthcare provider–patient relationship.

No diagnosis, prescription, or medical treatment is provided. Pranaya makes no guarantee, representation, or warranty regarding specific results or outcomes from participation in services. Results vary from person to person.

Client Responsibility:

You remain fully responsible for your health decisions and the implementation of any guidance provided. If you have or suspect a medical condition, if you are pregnant or taking medication, consult a qualified healthcare professional before implementing any changes discussed during consultations.

3. Booking and Payment

• Sessions must be booked in advance.

• Payment is due at least ninety-six (96) hours prior to the scheduled session, unless otherwise agreed.

• A booking is confirmed only upon receipt of payment.

• Prices are listed in euros (€). VAT is not applicable, in accordance with Article 293 B of the French General Tax Code.

• Pranaya reserves the right to modify prices at any time. The applicable price is the one in effect at the time of booking.

• You are responsible for ensuring accurate payment details. In the event of unjustified payment disputes, reversals, or chargebacks, you agree to reimburse any related administrative or banking costs incurred.

Note: Currency conversion fees may apply for international payments.

4. Cancellation and Rescheduling Policy

4.1 Cancellation by the Client

  • You may cancel or reschedule without charge up to ninety-six (96) hours (4 days) before the scheduled session. If canceled within this timeframe, payment will be refunded via bank transfer within 7–10 business days.

  • If cancellation occurs less than ninety-six (96) hours before the session:

  • The session remains due.

  • A one-time rescheduling may be granted within thirty (30) days, subject to availability.

  • If not rescheduled within that timeframe, the session is forfeited.

  • Missed sessions are non-refundable and remain fully payable.

  • Exceptional circumstances may be considered at the sole discretion of Pranaya, without obligation or precedent.

EU Right of Withdrawal

In accordance with EU consumer protection law, clients ordinarily benefit from a fourteen (14) day withdrawal right for distance contracts. However, by booking a session or class scheduled before the end of the withdrawal period, you explicitly waive your right of withdrawal.

4.3 Cancellation by Pranaya

Pranaya reserves the right to cancel or reschedule a session, class, or workshop in the event of unforeseen circumstances, force majeure, technical issues, or any other reason that makes it impossible or reasonably difficult to provide the service.

In such cases, the client will be notified as soon as possible via email or any other contact method provided during booking.

Depending on the circumstances, the client may be offered:

• A rescheduled session at a later date, or

• A full refund of any amounts already paid for the affected service.

No additional compensation may be claimed, unless otherwise required by mandatory legal provisions.

5. Client Responsibility

By participating in services, you acknowledge that:

• Meaningful change requires personal engagement and consistency.

• Recommendations provided are educational suggestions, not prescriptions.

• Results vary from person to person.

• You are responsible for listening to your body and acting within your own capacity.

• Implementation of any advice remains entirely voluntary and under your responsibility.

• Participation is undertaken at your own risk. You assume responsibility for any outcomes arising from the application of guidance provided.

6. Online Delivery and Technical Responsibility

Services are primarily delivered online unless otherwise agreed.

You are responsible for:

• Ensuring adequate internet access.

• Ensuring appropriate technical equipment (e.g., camera, microphone).

• Ensuring a suitable and safe physical environment for participation.

• Recommendation: Test your internet connection and equipment at least 15 minutes before your session.

Session time is scheduled for a fixed duration. In case of technical difficulties on your side, extensions are not guaranteed and remain at the discretion of Pranaya.

Pranaya shall not be held responsible for interruptions caused by third-party platforms or technical failures beyond reasonable control.

7. Confidentiality and Data Protection

All personal information shared through questionnaires and during consultations is treated with care and strict confidentiality. Information will not be disclosed to third parties without explicit consent, except where required by law.

Note:

• Online communications cannot be guaranteed to be entirely secure.

• Despite reasonable security measures, absolute protection against technical failure or cyber risks cannot be ensured.

• Personal data is stored securely and retained only as long as necessary to fulfill the purposes outlined in our Privacy Policy.

• In the event of a security breach affecting personal data, you will be informed where legally required or appropriate.

8. Limitation of Liability

To the fullest extent permitted by applicable law, Pranaya shall not be held liable for:

• Decisions made by you based on guidance provided.

• Indirect, incidental, consequential, or special damages or losses of any kind.

• Misuse or misinterpretation of information shared during consultations.

Where liability is established, the total aggregate liability shall not exceed the amount paid by you for the specific service giving rise to the claim.

Force Majeure: Pranaya shall not be held liable for failure or delay in performing obligations due to events beyond reasonable control, including but not limited to technical failures, internet outages, illness, accidents, natural disasters, government restrictions, unforeseen personal emergencies, or disruptions to essential services. You will be informed as soon as reasonably possible, and, where feasible, offered to reschedule the session.

9. Intellectual Property

All materials shared during and after consultations (including written summaries, recommendations, documents, recordings, and practices) remain the exclusive intellectual property of Sophie Guesne unless otherwise stated.

All content published on the Pranaya website—including but not limited to text, photographs, logos, graphics, downloadable materials, and overall design—is the exclusive intellectual property of Sophie Guesne unless explicit credit is given to a third party.

Permitted Use:

• Materials are provided for personal, non-commercial use only.

• You are welcome to take notes for personal use but may not share, distribute, or reproduce materials without prior written consent.

• Unauthorized use may result in legal action.

10. Governing Law and Jurisdiction

These Terms are governed by the laws of France. Any disputes arising in connection with these Terms shall fall under the jurisdiction of the competent courts of that country, unless mandatory consumer protection laws provide otherwise.

In case of dispute, you agree to seek an amicable resolution before initiating formal legal proceedings.

In the event of a dispute, French courts shall have exclusive jurisdiction. The company’s address falls under the jurisdiction of the courts of Bayonne. All legal proceedings shall be conducted exclusively in French.

11. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

12. Modification of the Terms

Pranaya reserves the right to modify these Terms and Conditions at any time. The updated version will be published on the website or communicated by email. The version in force at the time of booking shall apply to the corresponding service. Continued use of services after publication of an updated version constitutes acceptance of the revised Terms.
